13. By subscribing to the
Way2Win.com Referral Program ('Way2Win.com Referral Program'), you
('Member of Way2Win.com Referral Program' or 'Member') agree that you
have read and understand this Agreement ('Agreement') and that your
membership in the Way2Win.com Referral Program shall abide to its
terms and conditions.
14. The Member agrees to only refer people whom the Member knows or
users who link to this page from the Member's Web site.
15. Way2Win.com will manage and track all referrals under this program
and shall be entitled to make all final determinations in any disputes
regarding referrals. The Member will be able to check the status of
the Member's Referral Bonus.
16. For every person who joins
the Way2Win.com Referral Program using the Member's referral number,
the Member will be eligible to receive US $50 in cash (the 'Referral
Bonus'). This offer is limited to the first three million people
who sign up. This offer shall be valid only if and when Way2Win.com
files and successfully completes an initial public offering of its
shares (IPO). In such a case, the Member will receive his or her
Referral Bonus as a cash payment within one month after the IPO. The
Referral Bonus is non-transferable and void if transferred. The
Referral Bonus may not be bartered or sold.
17. The Member will be eligible for the Referral Bonus only if at the
time of the IPO he is on Way2Win.com's list of Active Members; and the
referring Member will receive money only for the Members that he has
referred and who are still on Way2Win.com's list of Active Members.
A new Member who joins Way2Win.com will be counted as 'referred' and
'joined' only after activating his Membership. The referring Member
will be eligible for a Referral Bonus only for those people that the
Member has referred and who remain active Way2Win.com Members. The
final Referral Bonus due to Members who are eligible to receive the
Bonus, if and when Way2Win.com successfully files for and completes an
IPO, will be calculated only prior to Bonus payment. The Referral
Bonus statistics posted on www.Way2Win.com are subject to change
according to the rules concerning Active Members and the Referral
Program, and are not final.
An Active Member is defined as a user who registered for Membership in
Way2Win.com, activated his Membership by
clicking on the activation link sent to him by email, downloads and
actively uses at least three programs from Way2Win.com's featured
casinos, remains on the mailing list of Way2Win.com, keeps his email
address current in the Way2Win.com database, and visits the site at
least once every 2 months.
18. No assurance can be given that the Company shall decide to
initiate, apply or file, or be successful in completing an IPO. If the
Company does not successfully complete an IPO, no referral bonus shall
be due or payable, and the Member shall have no rights to apply any
amounts to the purchase of shares in the Company.
19. This is not an offer to sell shares. Such offer, if and when made,
will be by a prospectus meeting the requirements of U.S. and/or other
applicable securities laws.
20. The Member agrees to be added to Way2Win.com's mailing list for
the duration of the Referral Program, and the Member will receive
direct e-mail from Way2Win.com, including on behalf of Merchants.
21. The Member agrees to download - and actively use - at least three
programs from Way2Win.com's featured casinos.
22. CashBack
The user will be entitled to get Cash Back in the amount of 10-17% of
his Losses incurred by playing in Way2Win.com's featured casinos (but
no more than the net amount of money earned by Way2Win.com from each
particular casino) according to the following terms and accounting:
a) The Cash Back percentage will begin at 10% and will advance by 1%
for every 3 new Players the user refers to Way2Win.com (up to 17%). A
'Player' for the purpose hereof is defined as a Way2Win.com Member who
is entitled according to the provisions hereof to get Cash Back from
Way2Win.com. He must have opened an account in at least one of the
featured casinos in the Way2Win casino portal via Way2Win, and must
have accumulated Estimated Cash Back.
b) A Way2Win.com Member who was previously a member of playNshop.com
and was eligible to transfer his PlayMoney to Way2Win.com will receive
an extra Cash Back percentage (not to exceed a total of 17%) according
to the following scale:
If Member accrued
<10,000 PlayMoney = Member receives additional 1% Cash Back
If Member accrued 10,000 - 100,000 PlayMoney = Member receives
additional 2% Cash Back
If Member accrued >100,000 PlayMoney = Member receives additional 3%
Cash Back
c) The Cash Back will be sent
once a month by check to the user if he has accumulated more than $100
in his Actual Cash Back account.
d1) The Actual Cash Back that will be paid to all Way2Win Members for
a specific period of time from a particular casino will not exceed the
Net Amount of money earned by Way2Win.com from the particular casino
for the specific time period.
d2) If the Net Amount earned by Way2Win from a particular casino with
respect to Cash Back is less than the Estimated Cash Back due to
Members of Way2Win who played in that particular casino during the
specific period of time, the Net Amount earned by Way2Win will be
divided among the Members who played in the casino, according to each
member's fractional equivalent of the total Cash Back due to all
Members for the particular period of time from the particular casino.
The difference between the Estimated and Actual Cash Back will NOT be
paid to Members.
e) The Cash Back will be given only to users who have provided the
casinos with the same personal information provided to Way2Win.com,
including email address
f) The Cash Back will be given only to users who have uphold all of
the Terms & Conditions of Way2Win.com
g) Way2Win.com accepts no responsibility or liability for the
information provided by the casinos regarding Member's Losses or for
any losses incurred.
h) A Member is entitled to Cash Back from each casino ONLY if he
opened an account with each particular casino via the Way2Win.com
featured casino portal. If he already had an account at the casino and
enters the casino through Way2Win, he will not be eligible to receive
Cash Back. If, however, the Member deactivates his account at the
particular casino and re-registers through the Way2Win.com featured
casino portal, he will be eligible to receive Cash Back for losses
incurred at that particular casino.
For the purpose hereof:
i. 'Losses' means the total amount of losses incurred by the Member
according to the reports given to Way2Win.com by a particular Casino
for a specific period of time.
ii. 'Net Amount earned' means monies actually received by Way2Win from
a particular casino for a particular period of time deducted by all
costs incurred by the Company regarding the above as determined solely
by the Company. Costs will not exceed 30% of the payment from each
casino.
23. A Way2Win Member who had been a paying playNshop.com Member with
money in his playNshop.com Prize Account will not lose the money he
won playing in the playNshop.com Playground. The money will be
transferred to his Way2Win Actual Cash Back account; and will be
payable when the total amount in his Actual Cash Back account reaches
$100.
